Quan Productions LLC
Service scope, rights & agreements
Proposed terms for new Studios projects. Your signed proposal completes the scope and agreement; existing beat licences remain unchanged.
Scope and acceptance
Your signed proposal identifies the parties, deliverables, formats, runtime or quantities, revision rounds, milestones, price, payment schedule and delivery dates. The online estimate is not an order, contract acceptance or guaranteed production slot. Changes require a written change order.
Payment and cancellation
No charge is made by this form. Approved work begins after the agreed payment and required materials. Before work starts, cancellation refunds payments less specifically approved, non-recoverable third-party costs. After work starts, payment is due for completed work and approved committed costs; unused prepaid amounts are refunded. Mandatory consumer rights remain unaffected.
Monthly services
Monthly services require separate affirmative consent stating the recurring amount, start date, billing frequency and cancellation method. Cancel future renewals before the next billing date through the supplied cancellation link or contact@quanproductions.com. No annual commitment is implied. Bundled first-month savings do not silently carry into renewals.
Ownership and licences
Upon full payment, Quan Productions LLC will sign the assignment specified in the proposal for original final cinematic masters or custom website code it owns. Pre-existing tools, reusable components, workflows, unselected drafts, third-party assets and open-source components are excluded and retain their respective rights. Embedded company components receive the licence needed to use the final deliverable. Shorts receive a perpetual, worldwide, non-exclusive commercial licence to the paid final clips, subject to disclosed third-party limits. Music and beat licences remain separate; this agreement does not replace historical accepted contracts or transfer publishing rights.
Client materials and clearances
The client must have permission for supplied footage, music, trademarks, likenesses, voices and other materials. Talent, location, broadcast and music clearances are included only when expressly listed. Neither AI output nor delivery alone guarantees copyright, exclusivity or broadcast clearance.
Review and performance
The proposal defines review windows and revision rounds. Quan will correct material deviations from the agreed scope. SEO rankings, views, sales, forecasts and uninterrupted third-party platform availability are not guaranteed. Intelligence is for internal business research and may contain uncertainty.
Confidentiality and data
Each party protects the other’s non-public project information and uses it only to perform the agreement. Personal data, retention and approved subcontractors must be addressed in the project terms. Confidential client work is not used in public portfolios without permission.
Liability and indemnity
To the extent permitted by applicable law, neither party is liable for indirect or consequential loss; Quan’s aggregate liability for the affected service is limited to fees paid for that service under the applicable proposal. These limits do not exclude liability that cannot lawfully be excluded, fraud or wilful misconduct. The client indemnifies Quan against third-party claims arising from infringing client-supplied materials or unlawful client use, to the extent caused by the client, with prompt notice and reasonable defence cooperation; this does not cover Quan’s own breach or misconduct.
Final agreement
These proposed service terms must be incorporated into a signed proposal identifying the governing law, dispute forum and any project-specific provisions before service checkout is enabled. They do not amend any existing purchase, licence or subscription.
